Sharps Technology Adopts Limited Duration Stockholder Rights Plan

Sharps Technology, Inc., a medical device company specializing in safety syringes and related products, announced that its Board of Directors has approved and adopted a limited-duration stockholder rights plan. The plan, often referred to as a "poison pill," is designed to protect the company and its shareholders from potential hostile takeover attempts or other actions that the board deems not in the best interest of the company and its long-term value.

The rights plan will be effective immediately and is set to expire within a limited time frame, unless the board decides to renew or terminate it earlier. Under the terms of the plan, rights will be distributed to shareholders of record as of a specific date. If any individual or group acquires beneficial ownership of a certain percentage of the company's outstanding common stock without board approval, the rights would trigger, allowing other shareholders to purchase additional shares at a discount. This action would dilute the ownership stake of the acquiring party, making a takeover more difficult and expensive.

The company stated that the plan is not intended to prevent a takeover that offers fair value to all shareholders. Instead, it aims to ensure that the board has sufficient time to evaluate any unsolicited proposals and to explore alternatives that maximize shareholder value. The move comes as the company continues to focus on its growth strategy and commercial expansion in the medical device market.
